论非法人组织能否投资设立一人公司——基于普通合伙企业的研究

On whether unincorporated organization can invest and establish one-man company——Research based on general partnerships

《民法总则》首次增加了“非法人组织”这一概念,使其正式成为民事主体的一类。随着社会的发展,非法人组织越来越常见且越来越多地参与民事经营活动,在民事活动中扮演着重要角色。《公司法》赋予了自然人、法人及国家这些主体可投资设立一人公司资格,但未规定非法人组织是否可以设立。文章基于对非法人组织中的普通合伙企业以及一人公司的特殊性研究,探究非法人组织这一民事主体是否可以投资设立一人公司。

The General Principles of Civil Law added the concept of“unincorporated organization”for the first time,making it officially a category of civil subjects.With the development of society,unincorporated organizations are more and more frequently involved in civil business activities,and play an important role in civil activities.The Company Law of China stipulates that natural persons,legal persons and countries can invest to establish one-person companies,but the law does not stipulate whether they can invest to establish one-man companies for illegal persons.Based on the particularity of general partnership and one-man company in unincorporated organization,this paper explores whether unincorporated organization can invest to establish one-man company.
