论技术秘密构成要件的认定--以定作产品技术秘密为视角

The Identification of Constitutive Elements of Trade Secret--in the Vision of Customized Product Technology Secret

商业秘密被认为是一种特殊的知识产权。技术秘密作为商业秘密的一种重要类型,其对科技创新的保护区别于专利权,但与专利权一样应遵循知识产权的基本原理。所主张保护的权利缺乏法定注册授权程序,需在司法实践中对构成要件进行认定,这是技术秘密案件审理的难点。梳理相关司法判定问题,表明技术秘密构成要件认定的根本问题在于其知识产权属性和基本原理未得到充分解读。在我国加强知识产权保护的政策导向下,技术秘密相关立法和司法解释不断完善,构成要件认定的法律原理和制度功能等基本问题,还需要结合案例做出评价和分析。文章深入剖析技术秘密的知识产权属性和制度目标,分析构成要件认定的知识产权法理论基础,进而以定作产品技术秘密认定为视角,对技术秘密构成要件的认定规则进行深入分析。

Trade secret is considered as a special intellectual property right.The lack of statutory registration and au‐thorization procedures for trade secret,it is necessary to identify the constitutive elements in judicial practice,which is the difficulty of the case trial.Sorting out relevant judicial judgment issues and show that its intellectual property attri‐butes and basic principles have not been fully interpreted.Under the policy guidance of strengthening the protection of intellectual property rights in China,the legislation and judicial interpretation of trade secret have been improved con‐tinuously.As for the basic issues such as legal principles and system functions of the determination of constitutive ele‐ments,it is necessary to make evaluation and analysis with cases.The paper analyzes the intellectual property attri‐butes and institutional objectives of trade secrets,analyzes the theoretical basis of the Intellectual Property Law for the identification of constituent elements,and then makes an in-depth analysis of the identification rules for the constitu‐ent elements of trade secrets from the perspective of the identification of technical secrets for custom-made products.
