摘要
NFT数字藏品是具有唯一性特征的数字化凭证,其法律属性与交易行为存在争议,阻碍了后续开发前景,亟待法律制度的有效回应。NFT数字藏品在技术本质上是一组指向作品复制件的元数据;在经济价值上是提升版权效率的工具;在法律属性上应被界定为《中华人民共和国民法典》第127条规定下的网络虚拟财产。文章认为,在否定网络虚拟财产“物权说”与“债权说”的基础上,应当肯定NFT数字藏品的效用和价值,并通过合同法或侵权法的行为法路径对NFT数字藏品交易行为进行规制。
NFT digital collections are digital certificates with unique characteristics.There are disputes over their legal attributes and transaction behaviors,which hinders the future development prospects and urgently requires an effective response from the legal system.Technically,NFT digital collections are a set of metadata pointing to copies of works.In terms of economic value,they are tools to improve copyright efficiency;in terms of legal attributes,they should be defined as virtual properties under Article 127 of the Civil Code.On the basis of denying the "property theory" and "creditor’s rights theory" of virtual property,the utility and value of NFT digital collections should be affirmed,and the transaction behavior of NFT digital collections should be regulated through the behavioral path of contract law or tort law.
