国有大企业参与设立投资类企业的潜在风险、防范困境及政策建议

Potential risks, difficulties and policy suggestions of state-owned large enterprises participating in the establishment of investment enterprises

国有大企业投资设立各类企业是强化企业竞争力、扩大影响力、提升带动力的重要内容。同时,客观上也存在各类投资类企业风险,主要涉及法律、商誉、投资和高管4个方面。相较于经济领域的重大风险,尽管设立投资类企业潜在风险危害程度偏弱,但是其发生频率更高。现阶段,国有大企业防范投资类企业风险存在两大现实困难:一是国企数字监管平台仍处于探索完善之中,投资类企业风险的数字监测系统缺位;二是国企化解此类风险存在及时退出的制度障碍,未能将特殊资产处置能力与投资类企业风险进行有效对接。由此,提出以下建议:充分发挥国资监管部门的监督引导作用,着力完善《中央企业全面风险管理指引》,不断强化防范投资类企业风险的顶层设计,加快构建国有大企业数字监管平台系统,建立健全国有大企业投资类企业风险化解机制,为防范化解投资类企业风险扩大化创造良好条件。

The investment of state-owned large enterprises to set up various enterprises is to strengthen the competitiveness of enterprises, expand influence, enhance the important content of driving force. At the same time, there will also be various investment risks, mainly involving legal, goodwill, investment and executive. Compared with the major risks in the economic field, although the potential risk of establishing investment enterprises is less harmful, its occurrence frequency is higher. At the present stage, there are two practical difficulties for large state-owned enterprises to prevent risks of investment enterprises. One is that the digital supervision platform of state-owned enterprises is still being explored and perfected, and the digital monitoring system of risks of investment enterprises is absent. Another one is that there are institutional obstacles for state-owned enterprises to resolve such risks in a timely manner, and they fail to effectively connect the disposal capacity of special assets with the risks of investment enterprises. Thus, this article suggested that give full play to the assets supervision department’s supervision guide, focus on perfecting the central enterprise comprehensive risk management guidelines, continuously strengthen the top design, the risk in the investment enterprise to speed up the construction of state-owned big enterprise digital monitoring platform system, establish and improve the state-owned big enterprise investment risk resolving mechanism. Good conditions will be created to prevent and defuse the expansion of risks for investment enterprises.
