民生导向下的经营者集中审查研究

People’s Wellbeing Oriented Anti-monopoly Review of Concentrations of Undertakings:Comments on the Amendment of the Anti-monopoly Law

此次《反垄断法》修订进一步明确了经营者集中审查的保障和改善民生职能,着重要求加强对国计民生领域经营者集中的审查。在剖析《反垄断法》修订的现实缘由和经营者集中对国计民生作用机制的基础上,系统探讨加强国计民生领域经营者集中审查面临的困难与挑战。国计民生领域范围不明晰、多重目标间存在冲突、并购类型日益多元化、救济措施可行性不强等,都是反垄断执法机构亟需应对的问题。现阶段,应从合理界定范围、健全分类分级审查制度、创新并购审查方式、构建政策协同体系着手,提高经营者集中审查的效率和效能,充分发挥其对国计民生领域的保驾护航作用。

The revision of the Anti-monopoly Law further clarifies the role of antitrust review in ensuring and improving the people’s wellbeing,and prominently requires strengthening the review of concentrations of undertakings in fields involving the national economy and the people’s wellbeing.After briefly analyzing the realistic reasons of this amendment and the mechanisms of concentrations on the national economy and the people’s wellbeing,this paper comprehensively studies the challenges facing the anti-monopoly review in the fields involving the national economy and the people’s wellbeing.The anti-monopoly law enforcement agency needs to urgently solve several problems,such as the scope of national economy and people’s wellbeing is not clear,the multiple targets are not incompatible,the type of M&A becomes more pluralistic,and the relief measures are lack of feasibility in practice.At this stage,we should reasonably define the scope,improve the classification and grading review system,innovate the review methods of M&A,and strengthen the policy synergy,in order to increase the efficiency and effectiveness of the concentration review and escort the national economy and the people’s wellbeing.
