商业秘密视角下的企业数据管理机制构建

Construction of Enterprise Data Management Mechanism from the Perspective of Trade Secrets

数据是企业重要的无形资产,在企业生产经营中起着关键性作用.本文归纳其内在特征所呈现的不同分类,进而分析在收集、运用和流通等环节中容易产生的法律风险问题,提出将企业数据作为商业秘密进行保护的合理路径.研究发现(1)科学的数据管理机制确实将直接导致,经济利益的损失和竞争优势的削弱;(2)相较于其他知识产权类型,以商业秘密作为路径实现企业数据的管理和保护更加符合当前的法律实践;(3)应当构建应对数据法律风险的企业商业秘密管理构架和人员物料管理制度,保障企业的数据安全的同时,维护健康的市场环境并促进技术的创新发展.

Data is an important intangible asset of enterprises,which plays a key role in the production and operation of enterprises.This paper summarizes the different categories presented by its internal characteristics,analyzes the legal risks easily generated in the collection,application and circulation,and puts forward a reasonable way to protect enterprise data as trade secrets.It is found that(1)the scientific data management mechanism will directly lead to the loss of economic interests and the weakening of competitive advantages;(2)Compared with other types of intellectual property,the management and protection of enterprise data through trade secrets is more consistent with the current legal practice;(3)Enterprise trade secret management framework and personnel and material management system should be established to cope with data legal risks,so as to ensure the data security of enterprises,maintain a healthy market environment and promote technological innovation anddevelopment.
