浅谈投资银行参与企业并购

On the Investment Bank's Involvement in the Merge and Acquisition of Enterprises

随着全球一体化的不断发展,金融市场在不断完善。在现代的经济趋势模式下,并购成为企业高层所青睐的一种发展模式。而在企业并购的过程中,投资银行起到了相当重要、并且不可忽略的作用。本文先从投资银行与企业并购的含义作为出发点,进而分析了投资银行对企业并购所产生的意义,然后将我国投资银行与美国的发展做比较,从而找出投资银行在参与企业并购中产生的一些问题,并就此分析其产生原因和防范措施,最后就我国投资银行在参与未来企业并购中的决策进行探讨。

With the continuous development of the global integration,the financial market is constantly improving.In the modern economic trend mode,merger and acquisition has become a kind of development mode favored by the top management of enterprises.In the process of merger and acquisition,investment banks play a very important and non-negligible role.This article started with the meaning of the merge and acquisition between the investment bank and the enterprise,and then analyzed the significance of the investment bank to the enterprise merge and acquisition.Then,it compared the development of the investment bank in China with that in the United States,so as to find out some problems caused by the investment bank's involvement in the enterprise merge and acquisition,and also analyzed the reasons and precautions.At last,it discussed the decision of the investment bank in the future enterprises merge and acquisition.
