盛宣怀与汉冶萍公司董事会制度的早期实践

As the main founder of Hanyeping Company,Sheng Xuanhuai exposed to western board system through friends and staff in the early stage of the operation of the enterprise supervised by officials.With the enrichment of experience and knowledge,Sheng Xuanhuai has deeper understanding of the superiority of the board system that he intended to set up the board of directors of Hanyeping Company by referring to the governance mechanism of western companies.Promoted by Sheng Xuanhuai,the board system was implemented in Hanyeping Company.In the early practice of the board system,the leading of the company's decision-making center shifted from Sheng Xuanhuai to the board,and then returned to Sheng Xuanhuai again.By investigating Sheng Xuanhuai's acceptance and practice of the board system and its practical effect,we can see the difficult transition from traditional to modern Chinese enterprises.
