国有企业混合所有制改革模式和公司治理——以中粮集团为例

十八届三中全会以来,国有企业混合所有制改革已经推出4批试点企业。通过案例研究,深入分析不同类型企业如何进行混改模式的选择,为国企混改提供了案例参考经验。本文选择国有企业混合所有制改革的典型代表——中粮集团进行案例研究,对中粮集团旗下3家不同类型的企业进行分类研究,详细分析了3家企业混改模式、绩效和公司治理结构,总结中粮集团分类分层混合所有制改革对提升企业绩效、优化公司治理机制的经验,探索混改的模式,不同类型企业混改路径如何选择。为推进混合所有制改革稳定发展、提升国有企业发展效率有一定的借鉴意义,同时丰富了国企混改的相关理论。

Since the Third Plenary Session of the 18th CPC Central Committee,the mixed ownership reform of soes has been launched in four batches of pilot enterprises.Through the case study,in-depth analysis of different types of enterprises how to carry out the mixed reform mode of choice,for state-owned enterprises to provide case reference experience.In this paper,COFCO Group,a typical representative of the mixed ownership reform of state-owned enterprises,is selected as a case study,three different types of COFCO enterprises are classified and studied,the mixed reform mode,performance and corporate governance structure of the three enterprises are analyzed in detail,and the experience of COFCO Group's classified stratified mixed ownership reform in improving corporate performance and optimizing corporate governance mechanism is summarized.Explore the mode of mixed reform and how to choose the paths of different types of enterprises.It can be used for reference to promote the stable development of mixed ownership reform and improve the development efficiency of state-owned enterprises,and enrich the relevant theories of the mixed ownership reform of state-owned enterprises.
