晚近国际投资协定中的企业社会责任条款:国际趋势及中国因应

The Corporate Social Responsibility Clauses in Recent International Investment Agreements:International Trends and China's Response

外国投资者及其投资不仅可能给东道国带来积极影响,也可能对其产生不利影响,因此,晚近国际投资协定开始以直接或间接的方式纳入投资者履行企业社会责任义务的条款,以平衡投资者与东道国之间的利益关系。我国现有的国际投资协定正文中并未纳入企业社会责任条款,其中仅少数在序言中提及该义务,滞后于国际投资协定发展的新趋势。鉴于《中欧全面投资协定》及我国正在申请加入的CPTPP文本中均包含较高标准的企业社会责任条款,我国应加快制定并推广中国模式的企业社会责任准则、加强我国参与国际规则制定的话语权,并考虑在未来修订或签署的国际投资协定中纳入企业社会责任条款。同时,我国企业也应主动承担其社会责任义务。

Foreign investors and investment may not only have a positive impact on the host country,but also have a negative impact.Therefore,recently international investment agreements(IIAs)have begun to include provisions for investors to perform corporate social responsibility obligations directly or indirectly to balance the interests between investors and host countries.China's existing international investment agreements do not includee corporate social responsibility clauses,and only a few of them mention the obligation in the preamble,which lags behind the new trends in the development of international investment agreements.In view of the fact that both the China-EU CAI and the official text of the CPTPP to which China has formally applied for accession contain relatively high standards of Corporate Social Responsibility(CSR)clauses,China should accelerate the formulation and promotion of the Chinese model CSR guidelines,improve China's voice in participating in the formulation of international rules,and consider including CSR clauses in future revised or signed international investment agreements.At the same time,Chinese enterprises should also take the initiative to assume their social responsibility obligations.
