Formulation and legal regulation of technical improvement clause in patent transfer contract

技术改进条款是专利转让当事方就后续技术改进成果所作出的权属约定。目前,我国对技术改进条款的法律规定并不完善,无法实现最优的利益分配与技术成果转化。基于专利权二元属性,结合我国专利技术转让法律基础与规范,对其中技术改进条款的相关概念与法律规制进行梳理分析。明确技术改进条款构成与效力认定方式,对技术改进条款无效后法律责任与利益平衡进行分析并提出完善建议。

The technical improvement clause is the agreement on the ownership of the subsequent technical improvement results made by the parties to the patent transfer.At present,the legal provision of technological improvement clause isn’t perfect,so it’s not possible to realize optimal interest distribution and transformation of technological achievement.Based on the duality of patent right,in combination with legal basis and norms for the transfer of patent technology,this paper combs and analyzes the related concepts and legal regulations of technical improvement clauses.It makes clear the composition and validity identification method of the technical improvement clause,analyzes the legal liability and interest balance and puts forward the improvement suggestions after the invalidation of the technical improvement clause.
