摘要
近年来,EPC模式在我国铁路工程领域快速发展,多家设计院和施工单位进行了EPC实践。为了减少铁路工程EPC模式下的合同管理风险、总结合同管理经验、提升合同管理水平,开展了相关研究。依托某在建EPC铁路项目,详细分析项目实施中合同管理方面存在的突出问题及其产生原因,主要包括验工计价方式及资金支付、材料调差的原则与范围、变更设计处理权限等。总结项目实施过程中依据合同条款、相关法律法规提出的创新性解决方案和建议措施,以供其他EPC项目在签订合同阶段争取更多合理条款,减少合同执行过程中双方分歧,降低EPC单位合同风险,提升EPC合同管理能力。建议各单位及各项目提前筹划合同条款中的内容,及时关注国家、行业发布的相关文件,主动联系建设单位沟通相关事宜,从而保证企业的根本利益。
In recent years,the EPC mode has developed rapidly in the field of railway engineering in China,and has been applied by many design institutes and construction contractors.This paper aims to reduce contract management risks,summarize contract management experience,and improve contract management capabilities of railway engineering in the EPC mode.Based on an EPC railway project under construction,the study analyzes the prominent problems and their causes in contract management during project implementation,including the method of project acceptance and valuation,payment,principles and scope of adjustment for price differences of materials,and authority for design changes.The study summarizes the innovative solutions and suggestions put forward during the implementation of the project based on contract terms and relevant rules and regulations for other EPC projects to negotiate more reasonable terms in the contract signing stage,reduce disputes during contract execution,lower the contract risks of the EPC parties and improve the EPC contract management capabilities.It is suggested that all organizations and projects plan the contract terms in advance,pay attention to the relevant documents issued by the state and the industry in time,and actively contact the employers to communicate relevant matters,so as to ensure the fundamental interests of enterprises.
