摘要
加强国有企业董事会建设是国企改革重要任务之一,建立公司董事会成员的业绩考核评价体系是完善公司治理结构建设的必由之路。本案例基于董事会职责定位以及各类董事身份职责的不同,以关键绩效指标(KPI)作为考核评价方案框架,设计了覆盖董事会全体成员的考核评价方案,形成基于战略的KPI绩效考评方式和360行为考评方式相结合的复合型绩效考评模式。通过考核评价方案的实施,提高了考核评价的效度,并通过绩效结果的运用,促使董事会成员更好地履职尽责,促进董事会高效运作,也为股东选拔董事会成员提供了依据。
Strengthening the construction of boards of directors in state-owned enterprises is a key mission in the reform of state-owned enterprises,and formulating a plan for the performance assessment and evaluation of board members is a route that must be taken to improve the construction of corporate governance structure.In this case,based on the definite responsibilities of the board of directors and the different roles and duties of various directors,a plan for the assessment and evaluation of all board members was made with key performance indicators(KPI)as a framework,to form a compound model of KPI assessment and evaluation combining Management by Objectives(MBO)and 360°Feedback.By implementing the assessment and evaluation plan,the validity of the assessment and evaluation has been improved,and board members have been encouraged to better fulfill their duties by the application of KPI results,which promotes the efficient operation of the board of directors and provides a basis for shareholders to select board members.
