基于委托代理激励约束的档案业务外包风险防治研究——以《档案法》第二十四条为中心

摘要 从委托代理关系看,由于信息不对称及利益冲突,档案业务外包中存在逆向选择和道德风险。《档案法》从现实出发,对档案业务外包进行规制,为契约的可证性提供了法律保障。有效防治委托代理风险,可从三个方面来进行:其一,发挥最优契约的激励约束作用;其二,发挥隐性契约中声誉机制的激励约束作用;其三,强化信号传播甄别机制的激励约束作用。 Looking from the principal-agent relationship,there are the adverse selection and moral risks in the archival business outsourcing because of the information asymmetry and conflict of interests.Based on realities,Archives Law regulates the archival business outsourcing and provides the legal guarantee for the validity of contracts.There are three methods to effectively prevent and control the risks of the principal-agent.The first is to exert the incentive and restraining influence of the best contract.The second is to exert the incentive and restraining influence of reputation mechanism in implicit contracts.The last is to strengthen the incentive and restraining influence of discrimination mechanism of signal transmission.
