房地产企业司法重整中的模式选择及优化路径

摘要 近年来,多家房地产企业接连陷入重整乃至破产的经营危机。目前几种常态化重整模式在司法实践适用中利弊共存,困境房地产企业如何选择适用司法重整模式问题亟待解决。实践中,房地产企业对司法重整持消极态度,重整计划就优先债权之争、财产流失以及资产权属争议等法律问题难以提出个性化的解决方案,司法机关对重整方案的估值评价体系尚不完善,重整计划的执行与监督也存在障碍。为此,可以采用预重整程序,运用留债展期、信托设置、托管经营等方法拓宽房地产企业偿债方式,完善重整计划价值评估与异议解决制度,明确预重整及新型偿债方式下重整管理人的权利义务,强化“府院联动”行政保障,通过以上路径进一步优化房地产企业司法重整程序,提高房地产企业司法重整计划的科学性和优益性。 In recent years,a number of real estate companies have been caught in a succession of business crises of restructuring and even bankruptcy.There are currently several models of normal restructuring that have both advantages and disadvantages in judicial practice,and the question of how troubled real estate companies should choose to apply the judicial restructuring model needs to be addressed.In practice,real estate companies have a negative attitude towards judicial restructuring,and it is difficult to propose individual solutions to legal issues such as disputes over priority claims,loss of property and disputes over ownership of assets in restructuring plans.To this end,it is advisable to adopt reorganization procedures,use methods such as debt extension,trust setup and trusteeship to broaden the debt repayment methods of real estate enterprises,improve the system for evaluating the value of restructuring plans and resolving objections,clarify the rights and obligations of restructuring administrators under reorganization and new debt repayment methods,and strengthen the administrative safeguards of"government and court linkage",so as to further optimize the judicial restructuring procedures of real estate enterprises and improve the scientific and beneficial nature of the judicial restructuring plans of real estate enterprises.
