地方金融组织股东管理制度的思考与完善

Thought and Improvementon Shareholder Management System of Local Financial Organizations

地方金融组织是我国金融的重要组成部分,相关制度的完善是保障其安全运行的主要举措。《中华人民共和国公司法》对大股东和控股股东的权利义务作出明确的规定,现行的金融监管政策也对银行业金融机构的大股东和控股股东的资质及权利义务作出明确的规定。然而,地方金融组织的股东管理制度与银行业金融机构相比,股东管理制度仍须进一步完善。基于此,通过分析地方金融组织股东管理制度的基本情况与存在的问题,借鉴商业银行股东管理制度和域外股东管理立法相关实践,提出完善地方金融组织股东管理制度的建议,以期促进地方金融组织的健康发展。

Local financial organizations are an important part of China’s finance,and the improve-ment of relevant systems is the main measure to ensure their safe operation.The Company Law of the People’s Republic of China has clearly stipulated the rights and obligations of major and controlling shareholders.The current financial supervision policy also makes clear provisions on the qualifica-tions,rights,and obligations of major and controlling shareholders of banking financial institutions.However,compared with banking and financial institutions,the shareholder management system of local financial organizations still needs to be further improved.Based on the situation described above,by analyzing the operation status and existing problems of the local financial organization’s shareholder management system,and referring to the relevant practices of commercial banks and for-eign shareholder management legislation,this paper puts forward advice on improving the share-holder management system to promote the healthy development of local financial organizations.
