摘要
纵向非价格限制行为因其竞争影响的复杂性以及双面性,现行立法未能对其明确态度,实践规制因此犹疑不定。但不能否认的是,纵向非价格限制具有反竞争风险及违法隐忧。深入剖析其竞争影响的原因发现,在竞争影响的作用机理上,纵向非价格限制与纵向价格限制存在一致性。纵向非价格限制本身具有作为独立违法行为的可能,在我国亦具有独立的规制空间。在违法性认定上,纵向非价格限制行为应当遵循个案判断的原则,立足于品牌间竞争的立场,只有影响品牌间竞争的纵向非价格限制行为方有规制的必要。在判断上,可借鉴纵向价格限制的认定思路,对市场力量、品牌间竞争状况、市场进入壁垒、效率促进等多方面因素加以综合衡量。
Due to the complexity and double-sidedness of vertical non-price restrictions in market competition,the current legislation has failed to make a clear stance towards it,leading nowhere of concerned law formulation and regulation.However,it cannot be denied that vertical non-price restrictions carry risks such as anticompetitive practices and potential violations of the law.Through an in-depth analysis of the factors for its competitive impact,it is found that there is consistency between vertical non-price restrictions and vertical price restrictions in terms of their competitive effects Vertical non-price restriction can be illegal acts,and it has independent regulatory space in China.In terms of illegality identification on the vertical non-price restriction,the case-by-case principle should be followed in consideration of competitions between brands.Only when the vertical non-price restriction affects the competition between brands,corresponding regulations are necessary.In terms of making judgments,the identification approach for vertical price restrictions could be employed,taking into account various factors such as market power,competition among brands,market entry barriers,and efficiency promotion.
