摘要
在我国创业投资和私募股权基金大规模发展的背景下,内陆欠发达地区的众多国有创投公司却停滞不前,甚至部分陷入经营困境。以中西部地区的某市国有创投公司为例,分阶段进行业务细分和数据整理,并从战略管理、风险防控、考核规律、专业能力等角度进行了剖析,发现其存在的问题主要包括战略偏差、主业不突出、业务模式定位不明确、股权结构单一、投入不足且缺乏持续性、对专业人才重视不够、体制机制缺乏活力,以及考核激励和运行机制未能与行业接轨等。通过综合分析,建议该公司向专业投资管理机构转型,并在明确创投主业、定位“直投+基金”业务模式、优化股权结构、改进决策和管理机制、以及完善激励约束机制等方面进行改革和创新。
In despite of the prevalence of venture capital investment and private equity,a great number of venture capital companies stop in the underdeveloped areas in Chinese mainland,worse still,some are experiencing difficulties of operation.Taking a certain company in the Midwest of China as an example,analyzing some cases in the terms of strategic management,risk prevention and control,assessment rules and professional ability etc.by business category and data arrangement,this study finds there are many problems such as lacks of strategy,main business is not prominent,unclear positioning of business model,single equity structure,Insufficient investment and lack of sustainability,insufficient respect for professional talents and abilities,assessment incentives and operational mechanisms are not in line with industry regulations.Through summary and analysis,the company can transform into a professional investment management organization and innovate in positioning itself as a venture capital main business,direct investment+funds,optimize equity structure,optimizing decision-making and management mechanisms,and improving incentive and constraint mechanisms.
