混合所有制企业的公司治理体系研究——以中国联通混合所有制改革为例

国有企业公司治理体系是国有企业改革的重点和难点,也是实现国家治理体系和治理能力现代化的关键。通过分析中国联通混合所有制改革可以看出,目前我国混合所有制公司治理体系仍然面临着现代企业制度不完善、混合所有制改革的市场化水平亟待提升、国资监管体系改革不到位、容错试错机制尚未建立等问题。因此,为了建立和完善混合所有制公司治理体系,我国应在国资监管层面给予混改企业董事会更多的经营自主权,建立职业经理人制度和市场化的选人用人机制,从体制机制入手提升混合所有制改革的市场化水平。同时,还要尽快出台混合所有制改革的顶层设计。

The corporate governance system of state-owned enterprises is the focus and dificulty of the reform of state-owned enterprises,and it is also the key to the modernization of the national governance system and governance capabilities.Through the analysis of China Unicom's mixed ownership reform,it can be seen that China's mixed ownership corporate governance system is still facing following issues:modern enterprise systems are imperfect,the marketization level of mixed ownership reform needs to be improved urgently,the reform of the stateowned assets supervision system is not in place,and the fault-tolerant trial and error mechanism has not yet been established.Therefore,in order to establish and improve the mixed-ownership corporate governance system,the country should give the board of directors of mixed-ownership reform enterprises more operational autonomy at the level of state-owned assets supervision,establish a professional manager system and a market-oriented selection and appointment mechanism,and start with institutional mechanisms raising the marketization level of mixed ownership reform.At the same time,the top-level design for mixed ownership reform should be introduced as soon as possible.
