摘要
《公司法》修改应当增强自主性意识、强化自主性特征,使得公司法充分尊重本土国情、面向实践难题、体现中国特色。由于立法功利主义、法律移植范式、立法技术缺陷、文化传统冲突等因素的影响,改革开放四十年来我国公司法制建设并未充分彰显公司法自主性特征,给公司法理论发展和实践应用带来了一系列问题。增强公司法自主性,对于加快完善社会主义市场经济体制、建设中国特色社会主义法治体系、参与全球法律文明对话具有重要意义。增强公司法自主性需要在整体视角、体系维度加以展开,《公司法》修改可以在立法目的、立法依据、法律渊源、法律原则、社会主义特色等方面通过规范的合理设置、制度的体系重构来强化公司法自主性特征。
The revision of the Company Law should enhance the awareness of autonomy and strengthen the characteristics of autonomy,so that the Company Law can fully respect national conditions,better face practical problems,and reflect Chinese characteristics.Due to the influence of legislative utilitarianism,legal transplantation paradigm,legislative technology defects,cultural tradition conflicts and other factors,the construction of China's corporate legal system in the past 40 years has not fully demonstrated the independent characteristics of company law.This has brought a series of problems to the theoretical development and practical application of company law.Enhancing the autonomy of company law is of great significance to accelerating the improvement of the socialist market economy system,building a socialist rule of law system with Chinese characteristics,and participating in the global dialogue among legal civilizations.Enhancing the autonomy of company law needs to be carried out with an overall perspective and systemic dimension.The revision of company law can strengthen the characteristics of company law autonomy through reasonable setting of norms and reconstruction of systems in terms of legislative purpose,legislative basis,legal source,legal principle and socialist characteristics.
