纵向非价格限制的规制路径探究

纵向非价格限制历来是反垄断规制的难点,若仅依靠《反垄断法》体系进行规制,只能援引第18条第一款第三项的兜底条款和第22条的滥用市场支配地位制度,条文的模糊造成执法的疏漏,导致司法的缺位。在此情形下,纵向非价格限制因存在双方协议,出现“搭便车”现象,可能诉诸民事或反不正当竞争方向的规制路径。所以,面对纵向非价格限制的规制难题,有效的解决之道是结合限制行为的自身特点,分析不同路径的规制原理,进而构建起纵向非价格限制的多元规制格局。具体可以借助经济学思维,既对反垄断规制进行改进,同时厘清其他规制路径的裁判理念,使其能在个案中体现反垄断宏旨。

Vertical non-price restraints have always been a difficulty of anti-monopoly regulation,if only rely on the anti-monopoly law system to regulate,we can invoke the cover clause on Article 18,paragraph 1,subparagraph 3 or abuse of dominance on Article 22,the vagueness of the provisions leads to the omission of law enforcement and the absence of justice.In this case,due to the existence of bilateral agreement,vertical non-price restraints appear free-riding phenomenon,which may resort to civil or anti-unfair competition regulation path.Therefore,in the face of the regulation problem of vertical non-price restraint,the effective solution is to combine the characteristics of the restriction behavior,analyze the regulation principles of different paths,and then construct the multiple regulation pattern of vertical non-price restraint.Specifically,we can make use of economic thinking to improve the anti-monopoly regulation and clarify the judgment concept of other regulatory paths,so that it can reflect the general purpose of antimonopoly in individual cases.
