农民专业合作社向公司出资制度研究

On the Investment System of Farmers’Professional Cooperatives to Companies

农民专业合作社向公司出资是发挥两者各自优势、促进两者融合发展的有效方式。然而,实践中,农民专业合作社向公司出资存在合作社出资财产不稳定、合作社民主表决与公司按股表决难以平衡、公司利益分配及合作社内部利益分配呈现不均等问题。对此,宜适当限制合作社部分成员的退社自由;表决制度可以采取合作社内部精英决策以及在公司引进差异化表决机制进行平衡;同时建议基于合作社出资类别分配公司利益以及在合作社内部建立差异化的利益分配机制。

Farmers’professional cooperatives investing in company is an effective way to fulfill their respective advantages.However,how to coordinate instability of contribution property of cooperatives,how to balance democratic voting of cooperatives and voting by shares of companies,and how to present distribution of interests.It is advisable to restrict freedom of some members to withdraw from the cooperatives;The voting system can be balanced by elite decision-making and differentiated voting mechanism;The benefit distribution can consider investment category of cooperative and differentiated interest distribution mechanism.
