A literature Review on the Participation of Communist Party's Organization of State-owned Enterprises in Corporate Governance

党组织参与公司治理是我国现代国有企业制度的独特之处,相关研究已从必要性、可行性、参与方式和参与效应等方面对国有企业党组织参与公司治理展开积极研究。已有研究显示:党的领导和国有企业的性质决定国有企业党组织参与公司治理的必要性,法理正当和党组织的独特优势表明国有企业党组织参与公司治理具备可行性,“双向进入、交叉任职”领导体制和“讨论前置”决策机制两种方式可以有效提升党组织参与公司治理的深度,国有企业党组织参与公司治理积极效应明显。学界研究结论对推进国有企业党组织参与公司治理具有重要启示。

The participation of party organizations in corporate governance is the unique feature of modern system in state-owned enterprises in China.Academic literature has studied the participation of the communist Party's organization of state-owned enterprises in corporate governance from the following aspects,namely neces-sity,feasibility,participation modes and participation effect.The literature studies have shown that the leadership of the Party and the nature of state-owned enterprises determine the necessity for party organizations of state-owned enterprises to participate in corporate governance.Legitimate legal principles and unique advantages of party organizations'participation indicate the feasibility of party organizations participating in corporate gover-nance of state-owned enterprises.The leadership system of"two-way participation""and"cross appointment"and the"pre-discussion"decision-making mechanism can effectively enhance the depth of party organizations partici-pating in corporate governance.The positive effect of state-owned enterprises party organizations participating in corporate governance is obvious.The conclusion of the academic research has important enlightenment to pro-mote the participation of the communist Party's organization of corporate governance of state-owned enterprises.
