“一带一路”倡议下我国跨境破产制度的完善路径

Study on the Improvement Path of China's Cross-Border Bankruptcy System Under the“Belt and Road”Initiative

随着“一带一路”倡议的深入推进,如何在促进跨境破产司法合作与保护本国债权人利益间找到平衡,保障内外债权人公平受偿已成为我国司法实践的重要议题。文章认为,我国《企业破产法》对跨境破产承认与协助制度的构建存在缺失,事实互惠原则有悖国际趋势,司法实践中也较为保守,尚且没有建立较为完善的法治体系。对此,在借鉴国际优秀立法经验的基础上,应从善意解释《企业破产法》、修缮管辖权规则、明确外国破产管理人准入资格、细化承认外国破产程序的救济措施等方面加以改进,以期为营造公开透明、开放包容的对外投资营商环境提供法律支撑。

With the deepening of the“Belt and Road”initiative,balancing cross-border judicial cooperation in bankruptcy and safeguarding the interests of domestic creditors,and guaranteeing the fair compensation of internal and external creditors has become a key issue in China's judicial practice.It's argued that China has not yet formed a perfect rule of law system,and the provisions on the recognition and assistance system for cross-border bankruptcy in Enterprise Bankruptcy Law are flawed.In addition,the principle of mutual benefit of facts is contrary to international trends and conservative in judicial practice.In this regard,on the basis of drawing on excellent international legislative experience,improvements should be made in interpreting the Enterprise Bankruptcy Law in good faith,revising jurisdiction rules,clarifying the admission qualifications of foreign bankruptcy administrators,and refining relief measures for recognition of foreign bankruptcy proceedings,with a view to providing legal support for the craetion of an open,transparent,and inclusive foreign investment and business environment.
