基于流程分析的高校图书馆数字资源采购合同风险防控研究

Research on the Risk Prevention and Control of the Procurement Contract of Digital Resources in University Libraries Based on Process Analysis

[目的/意义]为高校图书馆提高数字资源采购合同风险防控能力,更好维护图书馆及数字资源用户权益提供参考。[方法/过程]采用流程分析法,对高校图书馆数字资源采购合同从采购需求调研阶段、条款谈判阶段、合同审批和签订阶段、交付和验收阶段、合同履行和监督阶段五个阶段进行风险识别和分析。[结果/结论]针对不同阶段可能存在的风险,从健全采购需求调研机制、制定合理的合同条款、优化合同审批流程、明确交付和验收标准、建立有效的合同履行监督机制等方面提出一系列具有实用性的风险防控措施。

[Purpose/significance]This study provides a reference for university libraries to improve the risk prevention and con-trol ability of digital resource procurement contracts and better protect the rights and interests of libraries and digital resource users.[Method/process]Using the process analysis method􀆯this paper identifies and analyzes the risks of digital resource procurement con-tracts in university libraries in five stages:procurement demand investigation stage􀆯clause negotiation stage􀆯contract approval and signing stage􀆯delivery and acceptance stage􀆯contract performance and supervision stage.[Result/conclusion]In response to the possible risks in different stages􀆯a series of practical risk prevention and control measures are proposed􀆯including improving the procurement demand research mechanism􀆯formulating reasonable contract terms􀆯optimizing the contract approval process􀆯clarifying the delivery and accept-ance standards􀆯and establishing an effective contract performance supervision mechanism.
