康恩贝逆向混改的动因及效果研究

Research on the Motivation and Effect of the Reverse Mixed Reformin Zhejiang Conba Pharmaceutical Co.,Ltd

随着混合所有制改革的推进,我国资本市场中的民营企业开始引入国有资本进行“逆向混改”。但是目前“逆向混改”仍然处于探索阶段,理论体系尚不完整。鉴于此,本文以康恩贝引入浙江省中医药健康产业集团(下文称“浙江省中医药集团”)为例,分析康恩贝“逆向混改”的动因及其效果。康恩贝通过引入同行业国资战略投资者,一是可以弥补康恩贝“一股独大”的公司治理缺陷;二是能为康恩贝进行战略转型带来资金、技术等资源优势。康恩贝引入国资产生的影响为医药民营企业在引入国有资本时提供了经验和启示。

With the advancement of mixed ownership reform,private enterprises in China's capital market have begun to introduce state-owned capital to carry out"reverse mixed ownership reform".However,at present,the"reverse mixed reform"is still in the exploratory stage,and the theoretical system is still incomplete.In view of this,this paper takes the introduction of Zhejiang Traditional Chinese Medicine and Health Industry Group(hereinafter referred to as"Zhejiang Traditional Chinese Medicine Group")as an example to analyze the motivation and effect of Zhejiang Conba Pharmaceutical Co.,Ltd.'s"reverse mixed reform".Through the introduction of state-owned strategic investors in the same industry,Zhejiang Conba Pharmaceutical Co.,Ltd.can make up for the shortcomings of its corporate governance of"one dominant share";Second,it can bring capital,technology and other resource advantages to the company for strategic transformation.The impact of introducing state-owned assets into Zhejiang Conba Pharmaceutical Co.,Ltd.provides experience and enlightenment for pharmaceutical private enterprises in the introduction of state-owned capital.
