论我国个体工商户商事登记制度的优化

On the Optimization of Commercial Registration System for Individual Businesses in China

个体工商户作为我国民营经济的重要组成部分,其特殊的商自然人身份与其他商事主体相区分,商事登记制度也应当体现这种“区分”立场。《市场主体登记管理条例》的出台进一步巩固了我国商事登记制度改革的成果,然而其中部分规定范式却与作为商个人的个体工商户并不恰适。整体来看,个体工商户商事登记制度存在立法层级较低且分散、缺少个体电商商事登记相关规定、相关配套制度不够健全等问题。应在进一步明确个体工商户商事主体地位的基础上,增设个体电商登记及相关配套制度,还可以在个体工商户商事登记时实行备案制或登记豁免制,以体现效率便民原则,落实优化营商环境的“放管服”要求。

As an important part of China's private economy,individual entrepreneurs are distinguished from other commercial subjects by their special status as natural persons,and therefore the commercial registration system should also reflect this “distinguished” position.The introduction of the Regulations of the People's Republic of China on the Registration and Administration of Market Entities has further consolidated the achievements of the reform of China's commercial registration system,but the paradigm of the relevant provisions is not appropriate for the individual businessman as a commercial person.At the same time,the overall commercial registration system for individual entrepreneurs suffers from low and scattered legislation,the lack of provisions related to commercial registration of individual e-commerce,and the lack of a sound supporting system.On the basis of further clarifying the status of individual businesses as the main body of business,an individual e-commerce registration and related supporting systems should be established.The filing system or registration exemption system can be implemented during the registration of individual businesses,in order to reflect the principle of efficiency and convenience for the people,and implement the “streamlining of management and service” to optimize the business environment.
