版权证券化的规制路径:以海南自由贸易港为例

Regulatory Path of Copyright Securitization:A Case Study of the Hainan Free Trade Port

海南自由贸易港版权证券化,是贯彻新发展理念、构建新发展格局、推动制度创新的客观需要。版权证券化作为资产证券化在知识产权领域的运用,在我国可以充分利用海南自由贸易港优先发展服务贸易的战略优势,一方面促进知识产权创造、运用和管理服务能力提升,另一方面推进金融改革创新,实现版权向现实生产力转化。但是,当前我国版权证券化建设处于探索阶段,其内在债权关系面临可能出现的版权所有权纠纷问题、版权转让公示制度问题、基础资产的“风险隔离”问题等法律风险。从比较法经验和实践需求角度看,海南自由贸易港版权证券化应采取建立版权管理组织和信托形式的SPV、完善版权转让的公示制度、健全将来债权可转让的法律规范等措施,有效地预防风险的发生,依法、有序、高效地推动我国的版权证券化进程。

The copyright securitization of the Hainan Free Trade Port is an objective need to implement the new development concept,build a new development pattern,and promote institutional innovation.As the application of asset securitization in the field of intellectual property,copyright securitization can make full use of the strategic advantages of Hainan Free Trade Port in giving priority to the development of service trade in China,on the one hand,to promote the improvement of intellectual property creation,application and management service capabilities,and on the other hand,to promote financial reform and innovation,so as to realize the transformation of copyright into real productivity.However,at present,China's copyright securitization construction is in the exploratory stage,and its inherent creditor's rights relationship is faced with possible legal risks such as copyright ownership disputes,copyright transfer publicity systems,and"risk isolation"of underlying assets.From the perspective of comparative law experience and practical needs,it is proposed that the copyright securitization of Hainan Free Trade Port should adopt measures such as establishing a special purpose vehicle in the form of copyright management organizations and trusts,improving the publicity system for copyright transfer,and improving the legal norms for the transferability of creditor's rights in the future,so as to effectively reduce and prevent the occurrence of risks,and promote the process of copyright securitization in China in an orderly and efficient manner in accordance with the law.
