我国地方金融组织公司治理模式的路径考量--以深圳、重庆等地为例

Consideration on the Path of Corporate Governance Model of Local Financial Organizations in China:A Case Study of Shenzhen,Chongqing and Other Places

摘要 改革开放以来,我国金融业蓬勃发展,已成为经济发展的支柱,地方金融组织在其中扮演着重要角色。实践中,地方金融组织的公司治理水平与实体经济发展要求之间仍存在较大的差距。基于地方金融组织的特殊性,在以内部治理结构完善为主、外部监督为辅的原则下,以深圳特区和重庆市地方金融组织数据为标本,重点分析地方金融组织公司治理的发展情势,并从界定各层级职责范围,完善外部治理机制,优化股权结构和分配机制,构建差异化的公司治理结构,完善风控、激励以及信息披露等方面提出优化公司治理模式的路径建议。 Since the reform and opening up,China’s financial industry has experienced vigorous development and has become a vital pillar of economic growth,in which local financial organizations play an important role.However,there still exists a considerable gap between the corporate governance level of local financial organizations and the requirements of the real economy development.Based on the specificity of local financial organizations,in the principles of improving internal governance structure being the main focus and external supervision as a supplementary measure,using data from local financial organizations in Shenzhen Special Economic Zone and Chongqing Municipality as a sample,this study focuses on analyzing the development of corporate governance in local financial organizations.Furthermore,it proposes a path to optimizing the corporate governance model,emphasizing on aspects of defining the responsibilities at all levels,improving external governance mechanisms,optimizing ownership structure and distribution mechanisms,constructing differentiated corporate governance structures,and enhancing risk control,incentives,and information disclosure.
