摘要
《刑法修正案(十二)》新增了三类关于民营企业人员的特殊背信犯罪,旨在从立法上进一步落实对民营经济的平等保护要求。要注意实质性地理解平等保护要求,从侵害国有企业、民营企业利益行为的实质特征出发,通过构成要件的“增减调整”,真正落实平等保护要求。在具体适用新增罪名时,要注意《刑法》与新修订的《公司法》中关于忠实义务等规定的有效衔接,在法秩序统一性原理下确保刑事违法性的独立判断。根据刑法解释并参考指导性案例,《刑法》第165条、第166条、第169条新增第2款应对第1款法定刑“全部援引”。
The“Criminal Law Amendment(XII)”has added three specific provisions for crimes of breach of trust by personnel of private enterprises,aiming to further implement the requirement for equal protection of the private economy from a legislative standpoint.It is important to substantially understand the requirements for equal protection,starting from the essential characteristics of actions that infringe upon the interests of state-owned and private enterprises.Through the“addition,subtraction,and adjustment”of constitutive elements,the requirement for equal protection can truly be implemented.In the specific application of the new crimes,attention must be paid to the effective connection between the“Criminal Law”and the newly revised“Company Law”regarding provisions such as the duty of loyalty,to ensure the independent judgment of criminal illegality under the principle of the unity of the legal order.According to the interpretation of criminal law and reference to guiding cases,the second paragraph of Articles 165,166,and 169 of the“Criminal Law”should“refer entirely”to the statutory penalties of the first paragraph.
