Interpretation of Notification Rules for Debt Transfer in Factoring Transactions

保理人进行债权转让通知不以债权让与人不履行通知义务为前提。应以确保保理人能够证实保理合同和应收账款转让事实为宗旨,确定构成保理人有效通知所需必要凭证的范围及标准;保理人提供经公证的必要凭证不应作为强制性规定。在能够确证应收账款转让事实时,保理人提起的诉讼或者仲裁应可构成有效通知,且应认可诉讼或仲裁方式的通知在最终判决前有阻止债务人向让与人履行的消极效力。应收账款转让登记不能替代转让通知,即使在应收账款多重让与的情形中,债权转让登记与通知的效力冲突亦可通过坚持转让通知优先主义规则得以化解。暗保理人向让与人行使追索权不应以向债务人通知债权转让为前提。

The factoring party's notification of debt transfer is not conditional on the transferor's failure to fulfll the notification obligation.One should determine the scope and standards of the"necessary documents"required for the effective notification of the factoring party on the purpose that the factoring party can verify the factoring contract and the fact of the transfer of accounts receivable;the provision of notarized"necessary documents"by the factoring agent should not be a mandatory requirement.When the fact of the transfer of accounts receivable can be confirmed,the lawsuit or arbitration initiated by the factoring party should constitute a valid notice,and it should be recognized that the notification of the lawsuit or arbitration method has a negative effect on preventing the debtor from performing to the transferor before the final judgment.The registration of accounts receivable transfer cannot replace the transfer notice;even in the case of multiple assignments of accounts receivable,the validity conflict between debt transfer registration and notification can be resolved by adhering to the priority rule of transfer notification.The exercise of the right of recourse by the hidden factoring party against the transferor should not be based on notifying the debtor of the transfer of the debt.
