Strategies for National Railway Companies to Implement the New Company Law

新《公司法》对深化法治国铁建设、完善中国特色国铁现代企业制度、推动铁路高质量发展具有重要意义。聚焦新《公司法》修订的主要内容,结合国铁企业的实际情况,从4个方面提出对策建议:在出资管理方面,谨慎选择新组建公司投资合作方,加强既有公司出资管理;在公司治理方面,统筹内部监督力量,加强董事会建设,加强董监高履职管理,完善中国特色国铁现代企业制度;在股东权利与责任方面,置备股东名册,加强内控管理,维护股东合法权益,提高关联企业独立性;在股权管理方面,加强股权转让和资产资本化股权化证券化经营。

The new Company Law is of great significance for deepening the construction of the national railway under the rule of law,improving the national railway's modern enterprise system with Chinese characteristic,and promoting the high-quality develop⁃ment of railways.Focusing on the main content of the revision of the new Company Law,combined with the actual situation of national railway companies,the countermeasures and suggestions are proposed from four aspects:in terms of investment management,carefully select investment partners for newly established companies,and strengthen the investment management of existing companies;In terms of corporate governance,coordinate internal supervision efforts,strengthen the construction of the board of directors,strengthen the per⁃formance management of directors,supervisors,and senior executives,and improve national railway's modern enterprise system with Chinese characteristics;In terms of shareholder rights and responsibilities,prepare a shareholder register,strengthen internal control management,safeguard the legitimate rights and interests of shareholders,and improve the independence of affiliated enterprises;In terms of equity management,strengthen equity transfer and asset capitalization,equity securitization and operation.
