完善中国特色现代国有企业制度研究

Research on improving modern state-owned enterprise system with Chinese characteristics

完善中国特色现代国有企业制度是我国国企改革发展的重要方向,也是推进中国式现代化的重要基础。中国特色的“特”就特在把党的领导融入公司治理各环节,把企业党组织内嵌到公司治理结构之中。近年来,国有企业全面落实“两个一以贯之”,始终把建设中国特色现代企业制度作为一项牵引性、根本性、全局性改革任务来抓,企业治理效能有所提升。但是,目前国企在完善中国特色现代公司治理制度方面仍存在诸多问题,部分国有企业党委前置研究的界限不够清晰,治理主体权责不清问题仍在一定范围内存在,部分企业董事会成员构成不够科学,部分国企市场化经营机制改革不到位。本文提出相关政策建议:加快完善中国特色国有企业现代公司治理,加强和改进党对企业的领导;有效发挥不同治理主体的功能作用,持续完善权责法定、权责透明、协调运转、有效制衡的公司治理机制;健全更加精准灵活、规范高效的市场化经营机制,激发国有企业活力。

Improving the modern state-owned enterprise system with Chinese characteristics is an important direction for the reform and development of China’s state-owned enterprises,as well as an important foundation for promoting Chinese path to modernization.The“special”feature of Chinese characteristics lies in the integration of the Party’s leadership into all aspects of corporate governance and the embedding of the Party’s organization into the corporate governance structure.In recent years,state-owned enterprises have fully implemented the“two consistent”principle,and have always taken the construction of a modern enterprise system with Chinese characteristics as a traction,fundamental and overall reform task,and the effectiveness of corporate governance has been improved.However,at present,there are still many problems in the state-owned enterprises in improving the modern corporate governance system with Chinese characteristics,part of the state-owned enterprises in front of the party committee to study the boundaries are not clear enough,the problem of unclear powers and responsibilities of the main body of governance still exists to a certain extent,the composition of the board of directors of some enterprises is not scientific enough,and part of the state-owned enterprises are not in place in the reform of the market-oriented operating mechanism.This paper puts forward relevant policy recommendations to accelerate the improvement of modern corporate governance of state-owned enterprises with Chinese characteristics,strengthen and improve the Party’s leadership of enterprises;effectively play the functional roles of different governance subjects,and continuously improve the corporate governance mechanism with legal rights and responsibilities,transparency of rights and responsibilities,coordinated operation,and effective checks and balances;improve a more precise,flexible,standardized and efficient market-oriented business mechanism,and stimulate the vitality of state-owned enterprises.
