摘要
本章通过对一个案例中涉及的相关法律问题的探讨,提出了自己的建议:在股东会临时会议的提议和召集方面,我国公司法应扩大召集人范围并设定顺序,同时建立司法介入股东会临时会议召集的制度;在股东会于何种情况下可解除董事职务问题上,应借鉴国外立法,规定股东会在任何情况下均有解除董事职务的权利,并应建立无故解除董事职务的违约赔偿制度;对股东会决议违法问题,应区别不同情况,建立相应的司法救济制度。
The article probe into the problems i n a people' s court' s leading case,and make the proposal.On the proposal and convening of inte rim shareholders' meetings,the company law of China sh all stipulate more conveners and now they exercise their functions and powers.The comp any law shall establish the law system that the people' s courts take part in convening process of interim sharehloders' meetings;On dis-missing the directors of a company,t he company law shall stipulate that s hareholders' meetings have powers to dismiss a director of the board without limitation.A conpany shall hold contractual liability for com-pensation to the dismissed directors unnarrantely;On the illegal resolutions of share holders' meetings,we shall establish the different syste ms of iudicial remedy in accordance with the different illegalact.
