公司产权控制理论是设置合理公司治理结构的内在根据。应充分考虑公司产权的主体因素,目标因素,利益对应因素,设置不同利益相关者控制公司产权的机制。采用监事会与董事会分设的体制是适合我国国情的。监事会与独立董事的组成、性质、作用不同,不可相互代替。

Theory on management of corporations' property rights is the basis for setting up corporations'organs of management. We should give adequate consideration to certain factors involving the subject, the goal and the benefits for corporations'property rights and establish the mechanism so that the different stockholders may exercise management on corporations' property rights. Supervision Council and Board of Directors are suitable for Chinas specific conditions. As the compositions, features and roles of the two organs differ, neither can replace the other.
