本文从我国上市公司特有的股权状况出发 ,对独立董事引入前后上市公司董事会的冲突差异进行了论述 ,分析了独立董事的引入可能给新的董事会带来的冲突种类及成因 ,并提出相关对策。为我国上市公司独立董事引入后如何减少冲突 ,提高董事会决策效率提供借鉴与参考。

Based on the particular share equity of list companies in China, the thesis discusses the difference of conflicts between inner-directors and independent-directors, providing an analysis on types and causes of the change of conflict and putting forward the countermeasures. It will serve as a reference for list companies to seek ways to reduce conflicts after the emergence of independent-directors so as to improve the decision-making efficiency of the board of directors.
