对我国上市公司建立独立董事制度的思考

On the Construction of Independent Diretors in China

为规范我国上市公司法人治理结构问题,中国证监会引入了欧美国家的独立董事制度。当前,应立足我国国情着重解决独立董事相关法规的制定、薪酬支付、提名和选举、考核标准等问题,推动上市公司独立董事制度的完善。

In order to standardize the structure composition of the administration of legal person in China's listed companies, The China Securities Regulatory Commission introduced the system of independent directors from the developed countries. The paper states that our country should adopt the system of independent directors with appliance to the actual situation in China; What's more, the author offers some suggestions in order to perfect the design of the system of independent directors.
