摘要
高新技术创业过程中,人力资本价值的能否实现直接关系到对管理与专有技术人员等的激励。作者就一系列权力:产权、控制权、优先索取权与选择权的安排作为人力资本价值体现的途径以及产权安排这一目前比较普遍的方法在实践过程中可能遇到的障碍与困惑进行了讨论。
In the newborn hitech corporations, the complete realization of the value of human capital will greatly stimulate managerial and expert employees. The paper mainly discusses the realization of the value of human capital in terms of the arrangement of a series of rights, such as property rights, controlling rights, priority residual rights and option rights. The paper also deals with the obstacles and puzzles in property right arrangement.
