反垄断法视角下中国企业海外并购法律风险防范对策

Countermeasures Against Legal Risks of Chinese Enterprises' Overseas Mergers and Acquisitions under Perspective of Antimonopoly Law

随着我国经济的不断发展,中国企业越来越具备国际竞争实力。在其参与到国际竞争的过程中,为了获得更大、更快的市场占有与业务突破,会采用海外并购的方式来获取一定的优质资源。而海外并购是一个系统工程,涉及到方方面面的困境与问题,其中反垄断法规制法律风险是决定其海外并购是否顺利的先决条件。基于对现阶段现状以及存在问题的总结,提出应该从完善我国企业海外并购的相关法律体系、构建中国企业内部海外并购反垄断法律风险防控体系、完善相关部门在中国企业海外并购中的审查制度等三个方向与领域进行优化与改良,旨在为后续的我国相关立法的完善以及企业构建适宜的反垄断法律风险规避制度提供实践指导。

Wth the continuous development of China's economy,more and more Chinese enterprises have the strength of international competition.In the process of its participation in international competition,in order to obtain a larger,faster market share and business breakthroughs,Chinese enterprises will use overseas acquisitions way to get some quality resources.While the overseas M & A is a systematic project,which involves all aspects of the difficulties and problems,and the legal risk of the anti-monopoly law is a prerequisite for the success of overseas mergers and acquisitions.In this paper,based on the situation at this stage as well as a summary of the problems,three directions and fields should be optimized improved including were proposed:firstly,the perfect legal system of the Chinese enterprises overseas mergers and acquisitions;secondly,construction of Chinese enterprises overseas mergers and acquisitions anti-monopoly legal risk prevention and control system;thirdly,the censorship system of relevant departments in our country for the Chinese enterprises overseas mergers and acquisitions.The aim is to provide practical guidance for the improvement of relevant legislation and the establishment of appropriate anti monopoly legal risk avoidance system.
