有色上市公司董事会效能实证分析

Analysis on demonstrative efficiency of some board of directors of liste d nonferrous corporations

董事会的效能主要受自身结构、董事的激励和约束等三个方面的影响。文章对15家有色上市企业的董事会效能进行实证分析后认为:现行的股权结构、股东大会以及监事会的设置已严重影响了董事会效能的发挥,必须进行改进。

In this paper,demonstrative efficiency of each board of directors of fifteen listed non ferrous corporations are analyzed.As the efficiency of a board of directors is mainly influenced by its structure of the board itself,encouragement and rest raint of the directors of the board,the author deems that the current struct ure of share rights,general meeting of share-holders,and setting up superviso ry committee must be improved as the above-mentioned ones have been seriously i n hindrance of giving full play to the role and efficieency of the board of dire ctors in question.
