关于独立董事制度的若干思考

独立董事制度对完善上市公司治理结构有重要作用。我国独立董事制度正在稳步健康地发展,但还远不够成熟。为进一步完善我国的独立董事制度,应在聘任机制、信息来源、任期、激励机制等方面调整现行政策,以保证独立董事的独立性;应对独立董事的职责准确定位,以保证其监督职能的正常发挥。

The present policies of engagement, sources of information, term of office, and incentive mechanism should be readjusted in order that the independent trustee system can be further improved, the independence of trustees can be guraranteed, the position and duty of the trustees can be accurately orientated, so that their supervision can be fully brought into play.
