试析我国公司法中独立董事制度

独立董事制度,作为我国公司治理结构中的内部监督机制之一,是促进上市公司规范运行的一个重要手段,但在现行的实际操作过程中仍存在缺陷。本文试图从独立董事的引进及在我国适用过程中的优势和不足等方面进行分析,最后提出自己的几点拙见。

The independent director system, as one of the internal supervision mechanism in the corporate governance structure in our country, promote the normative operation of listed companies is an important means, but in the current defects still exist in the process of actual operation.
