我国现行的《公司法》在公司章程自治方面,赋予了公司更多的自主决策权。然而实践中,存在着公司照搬照抄章程模板、滥用公司章程意思自治的现象,使得公司章程难以发挥其应有的作用。我们需要重构章程意思自治的边界,协调章程与公司法之间的冲突。

The current 'Company Law' gives company more autonomous decision-making than before. However, in practice, we often see the phenomenon of some company copy the template and abuse the company's articles of association, which makes it difficult to play its proper role. We need to reconstruct the boundary of autonomy statute, to coordinate the conflict about corporate law and the articles of association.
