对万科控制权之争的典型案例进行剖析,对其控制权利益进行解构,在对比分析企业财务目标几种代表性观点的基础上论证'企业价值最大化'观点的合理性,确定为对公司控制权争夺进行价值评判的依据,进而在对万科财务报表进行相关分析的基础上对该案例进行了评述。

A case study was performed in this paper on the upcoming war for the control of China Vanke Co.,based on the differential analysis of the benefit of the control power of corporations.After a long and systematic study on four typical viewpoints about enterprise’s financial goal,we set up the criteria of maximation of enterprise’s value,which could be used to judge the characters in the competition of the control power of China Vanke Co.
