我国大陆资本市场强制性退市制度的研究

Study on the Compulsory Delisting Mechanism of the Capital Market in China's Mainland

合理、健全的退市制度是保证资本市场良性发展的基石,而强制性退市制度则作为纠错机制发挥着关键性的作用。因此,着眼于我国大陆资本市场强制性退市制度的不足,探究其优化空间,对于推进我国资本市场的发展具有深远意义。文章立足于我国大陆资本市场强制性退市制度,梳理其优化进程中已取得的成效,并通过对比海内外资本市场强制性退市制度,分析总结其间存在的差异,探究我国大陆强制性退市制度的不足与优化空间,并对未来的进一步完善提出了建议。

A reasonable and comprehensive delisting mechanism is the cornerstone that guarantees the benign development of capital market,and as an error correction mechanism,compulsory delisting system plays a key role. Hence,focusing on the compulsory delisting system’s shortage of the capital market in China mainland,exploring the optimization space has far -reaching significance for promoting the development of capital market in China. Based on the compulsory delisting system of the capital market in China mainland,this paper combed the results which has been made in the process of optimization;by comparing compulsory delisting system of the capital market at home and abroad,it analyzed and summarized the differences between them,explored its shortcomings and opti-mization space;then this paper put forward some suggestions:refine and improve the“significant information disclo-sure violation”clause,set a deadline for flexible rectification and establish a scientific system of complaint,enhance the practicality of quantitative standards,and increase the content enrichment degree of quality standards.
