在我国上市公司正式引入独立董事制度之后,理论界展开了激烈的讨论。本文就理论界关于独立董事的涵义、产生的原因,独立董事的独立性问题,以及我国是否应该引入独立董事制度等问题的主要观点作一综述。

Since the system of independent Board of directors was officially introduced to the listed firms in China, heated discussion has gone on in the field of theory. The author summarizes the connotation of independent board of directors, the cause of occurrence and independence of independent board as well as principal ideas as to whether the system ought to be introduced to China or not.
