监事的竞业禁止义务研究

鉴于董事和经理在公司中的地位及其与公司之间的法律关系 ,我国《公司法》对董事、经理的竞业行为作出了严格的禁止性规定。但未将监事纳入法定的竞业禁止主体范围 ,是我国《公司法》的一大缺陷。鉴于监事在公司中的法律地位 ,为全面切实保护公司的利益 ,必须以法定的形式规定监事的竞业禁止义务及其违反该义务的法律后果。

The company law of China strictly prohibits directors and managers from competing horizontally, but with exclusion of the supervisors. The duties of a supervisor in the company law do not prevent him from participating the horizontal competition. It is necessary to prescribe the duties and responsibilities of a supervisor and penalties in case of his illegal behaviors. This will help to safeguard interests of the company totally.
