Functional Regression and Improvement of System of Commercial Registration

纵观我国商事登记制度历史的发展轨迹,它以服从国家管理和强化行政权力为主导,商事登记的功能始终呈现出单一的管理功能。要重构我国商事登记制度,首要的是对商事登记的功能进行重新解读和定位,实现从管理功能到服务功能的转变,并相应地完善一些制度予以呼应,如形式审查制度的确立、主体资格与营业资格分离制度的建立、以立法的形式引入信用机制等。

Examining the track of history of commercial registration in China,the commercial registration always shows a single management function with obeying the national management and administrative power as its dominant role. In order to reconstruct the commercial registration system in China,we need to promote the change from management function to service function and improve some system,as the form of review,the separation of the subject qualification and business qualification,and introducing credit mechanism.
