我国企业集团治理的若干问题探析

An Analysis of Corporate Governance of Chinese Business Groups

本文将我国企业集团的治理从公司战略、组织结构的角度出发,通过对美日两种较为典型的公司治理模式的比较和对我国企业集团治理现存问题的分析,在一个更为广泛的意义上进行了研究。本文认为我国企业集团治理机制的完善应以加快我国企业集团母子公司制的健全和以市场为导向的M型组织结构的建立为基础。同时,考虑到我国的国情,可借鉴日本企业集团的治理经验。

In this paper the authors analyze the relationship among strategy,organ izational structure and corporate governance.A comparative study between the American type of corporate g overnance and the Japanese one,two typical models of corporate governance is made.On this basis current pro blems in Chinese business groups are an-alyzed.Sound corporate governance of Chinese business groups depends o n the system establishment of parent and subsidiary companies and multidivisional structure that is market orie nted.In Chinese business groups development Japanese experience can be drawn tak ing the situation of China into accou nt.
