上市公司治理缺陷的主要原因及对策

The Strategy and Reason about the Listed Enterprises' Defect in Corporate Administration

目前我国绝大部分上市公司治理存在较大的缺陷 ,科学的、有效的、合理的公司治理机制远未形成。究其原因主要在于产权制度安排不合理、外部监控机制弱化、激励机制不健全、法律法规制度不完善。要完善上市公司治理结构 ,必须多管齐下 ,积极为上市公司创造有利条件 ,并提供相应的制度支持。

Now there exist much defect in most of Chinese listed enterprises' administration, and the scientific,effective,reasonable corporate administration does't form. Its main reasons are the reasonless arrangement in property rights, the lack of outside supervise mechanism, the unperfectness of the encouraging mechanism and the legal system. So we should create advantageous condition for the listed enterprises in many ways and offer corresponding support in system.
